Litigation Summary
Window Gang has been involved in several litigation cases, primarily through its affiliate Premium Service Brands, LLC and its subsidiaries (including 360 Painting and RooterMan), and some related to its predecessor. Currently, there are two active federal lawsuits. In one, 360 Painting, LLC is suing a former franchisee and their unauthorized operator in federal court in Massachusetts for breach of contract, unjust enrichment, and trade secret misappropriation. The former franchisee has filed counterclaims against 360 Painting, LLC and Premium Service Brands, LLC for alleged fraud, negligent misrepresentation, and unfair business practices related to pre-sale disclosures and service failures. The court recently allowed the case to proceed on certain claims. In the second pending matter, RooterMan, LLC is suing a former franchisee in federal court in Massachusetts and in arbitration for trademark infringement, unfair competition, and breach of franchise agreements, including failure to pay royalties. The franchisee has filed counterclaims alleging fraudulent inducement, breach of contract, and unfair business practices, also disputing trademark validity. Historically, Premium Service Brands, LLC's affiliates have resolved several lawsuits. These included cases with former franchisees and vendors for breach of contract, fraudulent inducement, and negligent misrepresentation, with settlements ranging from $21,000 to $190,000. For example, 360 Painting, LLC settled a breach of contract and fraud case with a former franchisee for $21,000 and another for $57,500 related to licensing difficulties and inadequate training. Premium Service Brands, LLC also settled a vendor contract dispute for $190,000 and an advertising vendor dispute for $21,000. An older fraud case from 2011 involving Paul Flick and 360 Painting, LLC was settled for $100,000 in 2020. There have also been governmental actions. In 2022 and 2023, 360 Painting, LLC and Paul Flick entered into consent orders with the Maryland Securities Commissioner for franchise registration and disclosure violations, including failing to disclose lawsuits, resulting in civil monetary penalties of $50,000 and rescission offers. In 2020, 360 Painting, LLC entered an Assurance of Voluntary Compliance with the Illinois Attorney General's Office for failing to obtain signed Illinois amendments, paying $6,000 and offering rescission. In 2021, 360 Painting, LLC and several affiliates, along with Paul Flick, entered a Consent Order with the California Department of Financial Protection and Innovation for disclosure failures and misrepresentations, resulting in penalties, costs, disgorgement of initial franchise fees, and a temporary bar for Paul Flick from offering franchises in California. In 2020, 360 Painting, LLC was subject to a Virginia State Corporation Commission settlement order for disclosure failures, paying $10,000 in penalties and $1,000 for investigation costs. In 2022, 360 Painting, LLC and Pro-Lift Doors Franchise, LLC entered separate Consent Orders with the Washington Department of Financial Institutions Securities Division for Franchise Investment Protection Act violations, each paying $2,000 in investigative costs. Window Gang's predecessor, Window Gang Ventures Corp., was involved in a lawsuit in 2018 against a former franchisee for trade secret use and noncompetition, which settled for $110,000 in 2019.
