Corporate History

Financial Health Notes
WaterWalk Extended Stay by Wyndham's financial health is represented by its parent company, Wyndham Hotels & Resorts, Inc., which is a publicly traded company with audited financial statements. As of December 31, 2024, the company reported net income of $289 million. Its liabilities include $105 million for the Wyndham Rewards loyalty program and $2,463 million in long-term debt. The company also provides significant credit support guarantees related to a former parent's business sale, totaling $127 million. The independent auditors issued an unqualified opinion on the financial statements, indicating they present fairly, in all material respects, the financial position and results of operations. A critical audit matter was identified related to the Wyndham Rewards loyalty program's deferred revenues and liability due to the judgment involved in estimating redemption rates and costs per point, but this did not result in a qualified opinion. The company has $538 million of remaining availability under its stock repurchase program as of December 31, 2024.
Financing Details
WaterWalk Extended Stay by Wyndham may offer franchisees a deferral of the Initial Fee, typically for a short term such as 90 days or until the facility opens. This deferral is usually paid in one to three installments without interest, unless payments are late. The franchisor also offers Development Incentive financing, which are loans for new construction and conversion facilities, with amounts based on various factors and generally not exceeding 50% of the franchisee's equity investment. These loans are forgiven by 1/20th annually, but must be repaid if the franchise terminates or is transferred early, with an 18% interest rate in case of default. Special Development Incentives are available for approved women-owned franchisees (Women Own the Room, WOTR) with a target of $2,500 per unit, and for Black entrepreneurs (Black Owners & Lodging Developers, BOLD), which may also include a Development Incentive. Franchisees can also request a Lender Notification Agreement for their lenders, but the franchisor is not obligated to enter into separate agreements with lenders regarding security interests.
