Business Summary

Wahlburgers Restaurants operate as burger-oriented dining establishments that offer high-quality gourmet hamburgers and various branded merchandise, such as clothing, souvenirs, and novelty items. These restaurants are typically situated in Native American tribal locations and feature a contemporary, casual atmosphere that highlights the celebrity Wahlberg family connection. Wahlburgers focuses on distinctive decor, specific menu items, unique recipes, and precise food preparation and service techniques.

Corporate History

NativeWahl LLC was established on October 8, 2021, as a Michigan limited liability company. Its sole purpose is to subfranchise Wahlburgers Restaurants in Native American tribal locations throughout the United States. NativeWahl is wholly-owned by Native Source Restaurant Group, LLC, a tribally-owned company. NativeWahl began offering subfranchises in December 2021. Wahlburgers Franchising LLC (WF), the franchisor, was formed earlier on April 9, 2014, in Massachusetts. WF operates under its company name and the trade name 'Wahlburgers,' and has been offering Wahlburgers franchises in the United States since August 2014. WF is a wholly-owned subsidiary of Wahlburgers Holding Company LLC. While WF's affiliates operate Wahlburgers Restaurants, WF itself has never directly operated a restaurant.

Financial Health Notes

The FDD's 'Special Risks' section raises concerns about NativeWahl LLC's financial condition, stating that its 'negative net worth' calls into question its ability to provide services and support. However, NativeWahl's audited balance sheets actually show positive Members' Equity for both 2022 and 2023, despite experiencing net losses in those years. The auditors for NativeWahl LLC issued an unmodified (unqualified) opinion for its financial statements for 2023 and 2022, and did not include a going concern qualification. Wahlburgers Franchising LLC also received an unqualified audit opinion for its 2023 and 2022 financial statements, and its auditors did not express a going concern qualification, even though the company recorded a net loss in 2023 following net income in 2022.

Financing Details

Wahlburgers and NativeWahl LLC do not offer any direct or indirect financing to subfranchisees. Neither entity guarantees any subfranchisee's notes, leases, or other obligations. Subfranchisees must secure their own funding for the business.
