True Install has had two litigation cases, both of which are concluded. The first case involved Signs by Tomorrow of Siouxland, Inc., Douglas Potts, and Joan Fickler against Alliance Franchise Brands LLC's former affiliate, Sign & Graphics Operations LLC. This lawsuit, filed in April 2017, alleged breach of contract and breach of the duty of good faith, and was settled in March 2018. The second case involved Alliance Franchise Brands LLC against a former franchisee, United Sign Ventures, LLC, and its guarantors. This arbitration, filed in August 2016, sought monetary damages for unpaid amounts and failure to comply with post-termination obligations. Renewal Conditions
To renew the franchise agreement, True Install franchisees must provide timely notice to Alliance Franchise Brands LLC. They must be in full compliance with their franchise agreement, maintain possession of their business premises, or secure acceptable substitute premises. Franchisees are also required to upgrade their Warehouse and/or Service Vehicles to meet Alliance Franchise Brands LLC's then-current System Standards, regardless of the cost. If required by Alliance Franchise Brands LLC, franchisees must convert their business into a different brand designated by the franchisor or its affiliates. Finally, they must sign a general release, subject to state law, of any claims against Alliance Franchise Brands LLC and its related parties.

Franchisor Assistance
Before opening, True Install provides assistance with site selection for the warehouse (if leased prior to opening), initial training for the franchisee or managing owner, written specifications for equipment (including computer systems), supplies, tool packages, and vehicle signage, and electronic access to the Operations Materials. During operation, True Install provides periodic advice, updates to the electronic Operations Materials, a list of recommended vendors and suppliers, review and approval of marketing materials, assistance with warehouse relocation approval, administration of a system-wide Marketing Fund, and maintenance of the True Install corporate website. Alliance Franchise Brands LLC may also assist with establishing service prices but is not obligated to.

Ongoing Support
After opening, True Install provides ongoing assistance to franchisees through various channels. Alliance Franchise Brands LLC periodically advises franchisees on business operations and updates the electronic Operations Materials to reflect System improvements. It also provides a list of recommended vendors and suppliers and reviews and approves franchisees' local marketing materials. Alliance Franchise Brands LLC administers a system-wide Marketing Fund and maintains a corporate website to promote the True Install brand. Franchisees or their Managing Owners may be required to attend various training courses (up to three courses or seven business days per calendar year) and an annual meeting and sales conference. Employees can attend regularly scheduled training programs at no additional cost (excluding travel expenses).

Territory Size Requirements
True Install Protected Territories are defined by a count of approximately 5,000 businesses. The specific boundaries of the territory will be detailed in an exhibit to the Franchise Agreement. Alliance Franchise Brands LLC reserves the right to reduce a Protected Territory if the business count within it increases by at least 50% during the agreement term, though the new territory will still encompass a minimum of 5,000 businesses.
Staffing Notes
True Install requires franchisees to engage at least one installer with minimum qualifications and ensure they complete OSHA training and any other required training before providing services. Franchisees are solely responsible for all employment decisions, including hiring, firing, training, compensation, and management of their employees and independent contractors, and must ensure their employees understand they are not employed by Alliance Franchise Brands LLC. Payroll services for two to three employees (including the Managing Owner) are factored into initial estimates.
