Renewal Conditions

To renew, Totally Nutz Franchise, LLC franchisees must provide written notice of intent to renew between 180 and 270 days before the agreement expires. They must have fully complied with all terms of the current Franchise Agreement, including timely payment of all fees and not having received more than three breach notices. Franchisees must also upgrade, remodel, or refurbish their store and equipment to meet current brand standards, sign a general release of claims against the franchisor and its affiliates, and pay a successor franchise fee equal to 20% of the then-current initial franchise fee. Additionally, they must sign the franchisor's then-current franchise agreement and related documents, which may include materially different terms and conditions such as higher royalty and brand building fund contributions.

Totally Nutz franchisees, or their Managing Owners, must successfully complete an initial training program provided by the franchisor. They will also need to appoint a Designated Manager for each Totally Nutz Business they operate, who may be required to complete training. Territory Size Requirements

Totally Nutz does not offer exclusive territories. For mobile Totally Nutz businesses, the territory is event-based. Franchisees can operate at any event that has not been designated as a "Protected Event" by another Totally Nutz franchisee. A Protected Event is an event where a franchisee has a contract, has previously operated, posts required information on the internal system, receives approval from Totally Nutz, and continues to operate there. For fixed-location Totally Nutz businesses, franchisees operate at a specific approved site but do not receive any territorial exclusivity around that location. Totally Nutz franchisees should expect potential competition from other franchisees, company-owned outlets, or alternative distribution channels.

Staffing Notes

Totally Nutz requires that each franchise be managed by the franchisee themselves, or if the franchisee is an entity, by a managing owner with at least a 25% ownership interest and voting power. Totally Nutz allows for the appointment of a designated manager to oversee the day-to-day operations of each Totally Nutz business, with one designated manager required per business unit. The franchisee or managing owner, and any designated manager, must successfully complete Totally Nutz's initial training program. If a designated manager is replaced or added, Totally Nutz may require the new manager to complete the initial training.
