Audit Opinion
Going concern qualification
Financial Health Notes
The financial statements for Splash and Dash Holdings, Inc. include a "going concern" qualification. This means that the company has experienced operating losses and currently has a working capital deficit, which raises significant doubt about its ability to continue as a business without additional funding or improved profitability. The auditors noted this uncertainty, suggesting that Splash and Dash may need to secure more capital or make substantial operational changes to ensure its long-term viability. The financial statements do not reflect any adjustments that might be necessary if the company is unable to continue as a going concern.
Financing Details
Splash and Dash does not offer any direct or indirect financing options to its franchisees. Franchisees are responsible for securing their own loans, leases, or other financial obligations from third-party lenders.

Renewal Conditions
To renew their Splash and Dash franchise agreement for an additional 10-year term, franchisees must meet several conditions before their current term expires. They need to provide advance notice (between 90 and 180 days prior to expiration), be in full compliance with all contractual obligations to Splash and Dash and third parties, and not have defaulted on their agreement more than twice. Franchisees must also adhere to the brand's ethical standards, renovate their location to meet the then-current system standards (which may include a full remodel), and sign Splash and Dash's current standard franchise agreement and related documents (including a personal guarantee). Additionally, franchisees are responsible for paying Splash and Dash's out-of-pocket costs associated with the renewal and must sign a general release of any claims against the franchisor.

Franchise Requirements
Ideal Candidate Profile
Splash and Dash is looking for franchisees who are committed to actively participating in their business. The ideal Principal Executive, who must own at least 30% of the business, is required to devote a substantial amount of time and attention to the operation, specifically at least 20 hours per week (excluding reasonable vacations and holidays). While the owner is not required to be the day-to-day general manager on-premises, if they spend less than 30 hours per week at the store or score below a 7 on the brand's Predictive Index assessment, they must hire a full-time general manager. Both the owner (or the general manager if the owner delegates) must successfully complete Splash and Dash's initial training program and any future post-opening training. The general manager also needs to take the Predictive Index Assessment and meet the required score. The brand emphasizes ethics and values, with franchisees and owners expected to be honest and fair in all business interactions.

Territory Size Requirements
Splash and Dash defines a franchisee's territory as an exclusive area around their location. This territory will be the smaller of a three-mile radius around the business or an area with a population of approximately 75,000 people. If the territory isn't defined by a radius, Splash and Dash may use other boundaries, such as county lines, political boundaries, streets, geographical features, or a trade area.
Staffing Notes
Splash and Dash franchisees must dedicate significant attention to their business. The Principal Executive, who must own at least 30% of the business, is the primary decision-maker and must commit at least 20 hours per week. While they are encouraged to manage the store daily, if the Principal Executive spends less than 30 hours per week at the location or does not meet a specific score on the Predictive Index Assessment, a full-time general manager is required. This general manager, whether the Principal Executive or another hire, must successfully complete the Splash and Dash training program and meet specific Predictive Index scores. They are generally restricted to managing one Splash and Dash unit unless approved otherwise. If a general manager leaves, a replacement must be hired within 60 days. All new Splash and Dash employees must undergo an orientation and training program before starting work, and all employees must be re-certified in pet safety procedures every six months. Employees are expected to provide high-quality customer service and adhere to specific dress, appearance, and hygiene standards set by Splash and Dash. The franchisee is entirely responsible for all aspects of employee management, including hiring, training, and compensation. The franchisor may also require certain key employees to sign confidentiality and non-compete agreements.
