Financial Health Notes

The financial statements for Sir Grout's parent company, HS Group Holding Company, LLC, show a consolidated net loss of over $13 million for the year ended December 31, 2024. The company also has negative working capital, with current liabilities significantly exceeding current assets. Management is currently negotiating to extend the maturity date of a substantial term loan that is due in December 2025. Furthermore, the franchisor's disclosure document specifically highlights that the guarantor's financial condition, as reflected in these statements, calls into question Sir Grout's ability to provide services and support to its franchisees. The auditors noted a restatement of members' equity in 2024 but stated their opinion was not modified by this.
