Financial Health Notes

The financial statements for Purvelo Franchising, LLC, which guarantees Row House Franchising LLC's duties and obligations, indicate substantial doubt about Purvelo's ability to continue as a going concern. Purvelo has experienced recurring losses from operations and negative cash flow from operations, accumulating a members' deficit of $40,040 as of December 31, 2023. While the managing member (Parent) contributed $263,024 to Purvelo in 2024 and management plans to reduce operating expenses and anticipates increased revenues, additional liabilities from guarantee agreements with other affiliated franchisor entities could further impact its ability to sustain operations.

This Key Manager must meet the franchisor's minimum standards and satisfactorily complete the initial training program before the studio opens. Territory Size Requirements

Row House franchise territories are generally defined by a maximum of 50,000 people within an approximate two-mile radius around the studio's approved location. In major metropolitan downtown areas, the territory may be smaller, ranging from a two-block to two-mile radius, but still containing up to 50,000 people. The boundaries can be based on zip codes, streets, landmarks, or county lines and may vary based on specific location and demographics. The franchisor uses territory mapping software or publicly available population information to define these areas.

Staffing Notes

Row House Studios are required to have at least one Authorized Row House Instructor capable of providing rowing instruction and other approved services on-site at all times when approved services are offered. This instructor must complete initial and online training programs. Each studio must also have an Operating Principal with authority over all business decisions, and a Key Manager for day-to-day operations (who may be the Operating Principal). Both must be directly involved and provide full-time, on-premises supervision. Franchisees are solely responsible for hiring, disciplining, and managing all studio personnel, including instructors, and for ensuring their compliance with all labor laws and franchisor training requirements. Staff are expected to exhibit enthusiasm, cleanliness, neatness, friendliness, honesty, and loyalty to promote customer satisfaction and brand goodwill.
