Financial Health Notes
The FDD highlights Poolwerx's financial condition as a special risk, noting that it calls into question the franchisor's financial ability to provide services and support to franchisees, despite the parent company's commitment to provide support as needed. Poolwerx has a significant and growing accumulated deficit, which was -$4,946,207 as of December 31, 2024, and had increased to -$5,597,576 as of March 31, 2025. While the auditors issued an unqualified opinion on the consolidated financial statements, the FDD itself explicitly warns potential franchisees about the franchisor's financial health.
Financing Details
Poolwerx does not offer any direct or indirect financing to its franchisees. Additionally, Poolwerx does not guarantee a franchisee's note, lease, or other obligations.

Territory Size Requirements
Poolwerx defines its marketing areas based on known pool population and regional factors. Each territory is specifically identified by zip codes or carrier codes. While the FDD mentions that a map may outline these boundaries, the zip or carrier codes will prevail in case of any discrepancy. Poolwerx reserves the right to change the Marketing Area upon renewal to account for demographic shifts or other regional changes to ensure efficient client servicing and system operation.
