Business Summary
Pizza Hut, LLC offers franchises for Pizza Hut restaurants that specialize in selling high-quality pizza, pasta, other Italian-style food items, and WingStreet chicken products. These restaurants operate under a proprietary system and are identified by the Pizza Hut brand marks. Pizza Hut, LLC offers franchises for three main types of restaurant concepts: Restaurant-Based Delivery (RBD) restaurants, Delivery/Carryout (Delco) restaurants, and Delivery Based Restaurants (DBR)/Fast Casual Delco (FCD) restaurants. RBD, DBR, and FCD locations provide dine-in, carryout, and delivery services, while Delco restaurants focus solely on carryout and delivery. The RBD format is Pizza Hut's traditional dine-in restaurant with delivery options. DBR and FCD are newer formats designed for delivery and carryout, with DBRs being larger (over 50 seats) and FCDs being smaller (under 50 seats). All new franchised restaurants must also offer the WingStreet product line.
Corporate History
Pizza Hut, LLC, also known as PHLLC, is a Delaware limited liability company that operates Pizza Hut restaurants. The business history of Pizza Hut dates back to 1958 through its predecessors and affiliates, with franchising commencing in the United States in 1959. The predecessor company, Pizza Hut, Inc. (PHI), was originally incorporated in 1967 as "Pizza Hut of San Diego, Inc." and rebranded in 1997. PHI continued to offer and sell franchises until merging into PHLLC around May 20, 2016. Following this merger, PHLLC assumed responsibility as the franchisor for all domestic Pizza Hut franchise, license, and development agreements, acquiring PHI's assets and intellectual property. PHLLC is a direct subsidiary of Pizza Hut Guarantor, LLC (formed in 2016) and an indirect subsidiary of Pizza Hut Holdings, LLC (formed in 2016), both located in Plano, Texas. The ultimate parent company is YUM! Brands, Inc., headquartered in Louisville, Kentucky. In 2017, YUM! Brands, Inc. initiated a significant investment in the Pizza Hut brand, focusing on restaurant equipment upgrades, technology improvements, digital capabilities, and increased advertising, driven by an aggressive digital delivery-centric strategy. A Technology Framework Agreement was also established in December 2022 to accelerate technology advancement and innovation for the Pizza Hut System.

Financing Details
Pizza Hut, LLC offers financing assistance to qualified franchisee applicants through two programs. Firstly, its ultimate parent company, YUM! Brands, Inc., has an arrangement with a third-party lender, LS BDC Adviser, LLC. Through this arrangement, the lender may provide term loans and revolving loans for new restaurant acquisitions, refinancing, and related costs. As an incentive, YUM! Brands, Inc. may, but is not obligated to, guarantee up to 33% of the original principal or commitment amount of the franchisee's loan, with a maximum guarantee of $5,000,000. Under this program, Pizza Hut, LLC, and its affiliates do not receive any fees or consideration from the lender. Secondly, Pizza Hut, LLC offers an optional Employee Lending Assistance Program for qualified former employees. Under this program, Pizza Hut, LLC may guarantee 25% of the franchisee's loan principal, up to a maximum of $1,250,000 per loan or franchisee. To qualify for this program, former employees must meet specific individual, capital, and operational requirements, including passing a background check, having excellent personal credit, demonstrating a successful track record as a restaurant operator, and possessing sufficient liquid assets and working capital. Franchisee owners must personally guarantee the loan, and any loan default under either program may result in the termination of the Location Franchise Agreement.

Litigation Summary
Pizza Hut, LLC has been involved in several recent legal disputes. In March 2024, former franchisees EYM Pizza of Georgia, LLC and its affiliates filed a lawsuit against Pizza Hut, LLC, alleging breach of a forbearance agreement, tortious interference, and breach of fiduciary duty. A temporary restraining order was initially granted, but a motion for preliminary injunction was later denied. This case was dismissed with prejudice in April 2024. However, the same EYM parties filed a second lawsuit in July 2024, alleging tortious interference and conspiracy, claiming Pizza Hut, LLC personnel improperly spoke to potential buyers and disclosed confidential information. This case is currently stayed through March 2025 due to EYM's bankruptcy filing. Separately, in June 2024, Pizza Hut, LLC filed its own complaint against the EYM Federal Defendants for breach of contract, including violations of franchise agreements and guaranties. This case is also stayed through March 2025 due to EYM's bankruptcy. Lastly, in November 2024, Pizza Hut, LLC filed a complaint against Vardayani Mata, Inc., Mahender Patel, and Parul Patel to recover legal fees and expenses related to defending a New Jersey lawsuit, for which the defendants had agreed to indemnify Pizza Hut, LLC. A scheduling order for this case is forthcoming, and Pizza Hut, LLC intends to pursue it vigorously.

Within this Protected Radius, Pizza Hut, LLC will not develop or operate, or allow other franchisees or licensees to operate, a Pizza Hut restaurant of the same concept type as the franchisee's. However, Pizza Hut, LLC reserves the right to own, franchise, or license any other type of restaurant concept within this protected area. Staffing Notes
Pizza Hut, LLC requires franchisees to staff their restaurants in accordance with specifications and criteria outlined in its Brand Standards. This includes maintaining a competent, trained staff in sufficient minimum numbers to ensure efficient customer service. Franchisees must ensure their employees uphold good customer relations and adhere to established standards for appearance, dress code, manner, and demeanor. Pizza Hut, LLC emphasizes that these minimum staffing levels are crucial for maintaining the brand's quality and service standards, rather than controlling daily operations. All restaurant employees must successfully complete mandatory Becoming a Customer Maniac (BCM) training (online and on-the-job) within 30 days of hire. All management-level employees are required to complete Pizza Hut, LLC approved management training, with optional 'LEAD On!' programs available. Franchisees must designate and maintain one or more 'Qualified Operators' to actively manage and participate in the day-to-day operation and ownership of their restaurant. These Qualified Operators must meet Pizza Hut, LLC's approval, possess at least a 10% equity interest, satisfy educational, managerial, and business standards, and successfully complete the Initial Training Program.
