Financial Health Notes

Painter Bros' financial statements, as referenced in Item 21, show that its total liabilities exceed its total assets, resulting in a members' equity deficit of ($577,846) as of December 31, 2024. While the company recorded positive net income of $166,199 in 2024, it reported net losses in the two prior years. This financial condition has led certain state regulatory agencies (including Hawaii, Illinois, Maryland, Minnesota, North Dakota, South Dakota, and Virginia) to require Painter Bros to defer the payment of initial franchise fees until all pre-opening obligations to the franchisee are met and the business is open.

Financing Details

Painter Bros does not offer any direct or indirect financing to its franchisees. The company also does not guarantee any notes, leases, or other obligations for franchisees, who must secure their own funding through banks or other lenders.

After opening, Painter Bros provides franchisees with 50 to 60 hours of virtual opening assistance through weekly phone or video calls. The franchisor also offers ongoing guidance on general operations, including manual updates, and may provide additional training if requested or deemed necessary, for which fees and expenses may apply. Franchise Requirements

Ideal Candidate Profile

Painter Bros seeks franchisees who are qualified buyers, particularly those capable of significant upfront operating capital to manage large projects and national accounts, with large investment franchisees needing to purchase at least 5 territories. The ideal candidate must have an operating principal willing to be personally involved in the direct operation and supervision of the business. This involvement includes overseeing all accounting, reporting, and financial components; attending all required training and annual meetings; being directly involved in personnel decisions; and conducting frequent inspections of job sites to ensure high standards. The operating principal is also responsible for weekly check-ins with the franchisor's director of operations and personally managing sales and production for national account customers. Painter Bros looks for individuals with strong business experience, good reputation, and creditworthiness who are free from conflicting or competing business interests.

Territory Size Requirements

Each Painter Bros territory is comprised of ZIP codes and is defined by a population range of 250,000 to 260,000 people. For example, a 3-territory franchise would have a minimum population of 750,000 people. Painter Bros reserves the right to adjust territory boundaries if the collective population of a franchisee's territories increases by 100,000 or more, ensuring no adjusted territory has less than approximately 250,000 people. Franchisees must service all purchased territories from the start of operations.

Staffing Notes

Painter Bros franchisees are required to hire an estimator, a foreman, and at least one salesperson to begin operations. Owner-operators may assume some of these management and administrative roles. Franchisees must use Painter Bros' approved recruiting agency for sales and management personnel and a designated bookkeeping service. Initially, only one painting crew is anticipated. The operating principal must actively participate in and supervise the franchise business, handling all accounting, reporting, personnel decisions, job site inspections, and weekly check-ins with Painter Bros' director of operations. If the operating principal is not a full-time manager, a designated manager must provide on-premises supervision at job sites.
