Financial Health Notes
Next Day Access's parent company, CFC Holding Company, LLC, has reported significant net losses, with $(3,073,861) in 2024 and $(7,643,730) in 2023. The company also shows a substantial and increasing members' deficit, reaching $(27,438,644) in 2024, and made large distributions of $(16,307,300) in the same year. Long-term debt increased significantly to over $54 million in 2024. While the auditors issued an unqualified opinion, these financial indicators suggest potential concerns about the overall financial health of the parent company.

CarePatrol also had an administrative action with the FTC in 2012 regarding website wording, which was resolved without a fine or penalty. ComForCare Franchise Systems, LLC has multiple ongoing cases from 2023 and 2024, including a Michigan lawsuit from November 2023 against a franchisee for unpaid fees (with a counterclaim for breach of contract over $75,000), a California lawsuit from February 2024 against a franchisee for unpaid fees and confidentiality breaches, and a California lawsuit from June 2024 where former ComForCare franchisees are being sued for negligence (ComForCare denies responsibility). They must be in good standing, having complied with all agreements with Next Day Access and its affiliates, and be current with all financial obligations to landlords, vendors, and the franchisor. If not operating from a personal residence, they must demonstrate the right to occupy the premises for the renewal term or gain approval for a new location. Training & Support Program
Franchisor Assistance
Next Day Access provides initial training for the franchisee and one additional employee, covering topics from product evaluation and installation to marketing and software use. This training occurs at designated locations in Tennessee and the franchisee's approved location. Ongoing support includes guidance on operating issues, purchasing, advertising, employee training, and administrative procedures through manuals, bulletins, and consultations. Franchisees receive at least one field visit in their territory during the first 12 months, with additional visits at Next Day Access's discretion. Franchisees are required to participate in an annual conference and a regional meeting. Next Day Access also manages a required Contact Center for client services during the first 12 months and provides a Field Service Management Software, Google Workspace, and requires QuickBooks Online for accounting. Next Day Access controls the brand's website and may offer local features. The franchisor reserves the right to implement a national advertising fund (up to 2% of gross sales) and requires franchisees to meet minimum local marketing spending, which varies based on annual gross revenue. Optional additional assistance may be provided for a fee.

Ongoing Support
After opening, Next Day Access franchisees are expected to participate in ongoing support, which includes optional or mandatory refresher training courses (for which fees may be charged). Next Day Access provides continuous guidance on operational standards, purchasing, advertising, employee training, and administrative procedures. A representative will visit the franchisee's territory at least once during the initial 12 months of operation, with subsequent visits determined at Next Day Access's discretion. Franchisees are required to attend one national conference and one regional meeting annually, covering their own travel and lodging expenses, and facing an absentee fee if they or an approved employee do not attend. Additional guidance and assistance can be requested, potentially incurring per diem fees and travel expenses for Next Day Access personnel. Franchisees are required to utilize a Contact Center for the first 12 months of operation, with a monthly fee of $799 after the initial six-month period, which becomes optional thereafter.

Staffing Notes
Next Day Access locations must operate Monday through Friday from 8:00 am to 5:00 pm in their respective time zones, with weekend hours at the franchisee's discretion. Each Next Day Access business needs to be managed directly by one of its principals or another individual who has successfully completed the initial training program. At least one person who has completed the initial training must be available during all specified operating hours. While there's no specific equity requirement for the supervisor, supervision by the franchisee or a principal owner is recommended. Next Day Access also requires franchisees to have an after-hours emergency phone number for customers. Employees who have access to confidential information, including managers, assistant managers, sales representatives, and installers (even if independent contractors), must sign non-competition and confidentiality agreements. Franchisees are solely responsible for all employment decisions, including hiring, firing, training, compensation, compliance with wage and hour laws, and personnel policies, and must maintain a competent and trained staff to ensure good customer relations and service quality.
