Corporate History
Mosquito Squad Franchising SPE LLC was organized on March 24, 2021, as a Delaware limited liability company. It operates under the name 'Mosquito Squad' and became the franchisor of the Mosquito Squad system on May 14, 2021, as part of a Securitization Transaction. Its predecessor, Mosquito Squad Franchising, LLC (MSQ), first offered Mosquito Squad franchises in February 2009. MSQ operated as the franchisor until May 14, 2021. Mosquito Squad Franchising SPE LLC began offering franchises on May 17, 2021. The current franchisor does not operate any Mosquito Squad businesses directly, but its affiliates do, which are referred to as 'Company-Owned Outlets'. The company is part of a larger group of brands under Authority Brands, Inc., which is ultimately majority-owned by funds advised by Apax Partners, LLP.

Financial Health Notes
Mosquito Squad Franchising SPE LLC's direct parent, AB Assetco LLC, showed a notable decrease in cash and a net loss in 2024, shifting from prior years' net income, and also reported significant impairment losses. The ultimate parent company, Authority Brands Inc., has experienced increasing net losses over the past three years. However, Authority Brands Inc. maintained compliance with its debt covenants and saw an improvement in its cash position. The independent auditors have issued an unqualified opinion for both financial statements, confirming they present fairly without material misstatements, and no 'going concern' qualification was noted for either entity.
Financing Details
Mosquito Squad may allow franchisees to finance up to 75% of their initial franchise fee and any additional population fee. If approved, the remaining balance can be paid over up to 36 monthly installments, with an annual interest rate of 12%. Franchisees can prepay this loan without penalty at any time. Mosquito Squad requires a security interest in the assets of the franchised business for this financing. However, this financing option is not available for transactions involving brokers or certain referral programs. Aside from this, Mosquito Squad does not offer any other direct or indirect financing to franchisees and will not guarantee any other loans or obligations.

Litigation Summary
Mosquito Squad Franchising SPE LLC recently concluded an Assurance of Discontinuance (AOD) with the Massachusetts Attorney General. This AOD, filed on September 10, 2024, resolved an investigation where the Attorney General alleged that Mosquito Squad and its Massachusetts franchisees made misleading environmental and health-and-safety claims. The claims related to the Mosquito Control Barrier Protection system, including statements about generalized health benefits, being 'natural' or 'all-natural,' effectiveness against mosquitoes and ticks, being 'worry-free,' and using 'EPA-approved' pesticides, all allegedly without proper substantiation. Mosquito Squad cooperated with the investigation and denied any wrongdoing. As part of the AOD, Mosquito Squad agreed not to publish such advertisements or representations, to alert franchisees making such claims, and to inform new Massachusetts franchisees and leadership about the AOD terms. Mosquito Squad and the franchisees collectively paid $13,000 to the Commonwealth of Massachusetts for investigation costs. The AOD will expire on September 10, 2034.

Franchise Requirements
Ideal Candidate Profile
Mosquito Squad seeks individuals or business entities who are willing to undertake the investment and effort to own and operate a Mosquito Squad business. For Micro Territories, existing business owners interested in operating a franchised business in addition to their existing activities are particularly well-suited. The designated Key Person, who is either an owner or an approved General Manager, must successfully complete the initial training program and work on premises at the business office. While specific pesticide license experience is not strictly required of the franchisee themselves, the business must ensure compliance with regulations, potentially by hiring licensed individuals or partnering with them. Owners and Key Persons must sign Confidentiality and Non-Compete Agreements.

Territory Size Requirements
Mosquito Squad defines its standard territories based on population, typically ranging from 350,000 to 500,000 people within a designated geographical area. For smaller or rural markets, Micro Territories with populations under 350,000 may be granted. If a territory exceeds the 500,000 population limit, Mosquito Squad may charge an additional fee per person over that limit. Population figures are determined using U.S. Census Data or other chosen statistical sources. Mosquito Squad franchisees do not receive an exclusive territory and may face competition from other Mosquito Squad franchisees, company-owned outlets, or other distribution channels controlled by Mosquito Squad.
