Corporate History
JBM LLC, the franchisor for Jollibee in the United States, was formed in Delaware in June 2022 and began offering franchises in April 2024. Its ultimate parent company, Jollibee Foods Corporation (JFC) from the Philippines, has been franchising Jollibee Restaurants in the Philippines since 1979 and internationally since 1985. An affiliate, Honeybee Foods Corporation, previously offered Jollibee franchises in the US from 2018 to 2022, but all those agreements have been transferred to JBM LLC, which is now the sole Jollibee franchisor in the US. JBM LLC is also commonly controlled with other entities that franchise different restaurant concepts such as "The Coffee Bean & Tea Leaf", "Smashburger", and "Milksha".

Financial Health Notes
The auditors have issued an unqualified opinion on Jollibee's financial statements for the years ended December 31, 2024 and 2023. While the auditors noted that management is required to evaluate conditions that raise substantial doubt about the company's ability to continue as a going concern, their opinion did not include a specific going concern qualification. However, Jollibee reported significant net losses from continuing operations: $3.6 million for the year ended December 31, 2024, $2.5 million for the year ended December 31, 2023, and an unaudited net loss of approximately $3.7 million for the fiscal quarter ended March 31, 2025. Despite these losses, Jollibee's unaudited balance sheet as of March 31, 2025, indicates a strong working capital position with current assets significantly exceeding current liabilities.

Training & Support Program
Franchisor Assistance
Jollibee provides comprehensive assistance to its franchisees. Before opening, Jollibee offers initial training to mandatory trainees, makes its Standards of Operations Manual available, and reviews and approves proposed restaurant sites, leases, and construction plans. Jollibee also provides prototypical plans for restaurant layout and placement of required operating assets. During operation, Jollibee offers additional training upon request (for a fee), advises on restaurant operations based on reports or inspections, and continues to provide access to the Standards of Operations Manual. Franchisees are allowed to use Jollibee's marks and copyrighted materials. Jollibee also administers a Marketing Fund to promote the brand and may set maximum or minimum prices for products, or dictate advertising policies for suggested retail prices.

Ongoing Support
Jollibee provides ongoing support to its franchisees after their restaurants open. This includes offering additional training upon request for a fee, and advising on restaurant operations based on submitted reports and inspections. Franchisees continuously have access to Jollibee's Standards of Operations Manual and are permitted to use the brand's marks and copyrighted materials. Jollibee also manages the Marketing Fund, which promotes the brand. Furthermore, Jollibee may periodically set pricing guidelines for products or enforce advertising policies on suggested retail prices. Franchisees and their designated managers may be required to attend various ongoing training courses, meetings, or conferences hosted by Jollibee. Franchise Requirements
Ideal Candidate Profile
Jollibee seeks qualified individuals or entities with relevant business experience and sufficient financial resources. If the franchisee is an entity, Jollibee requires a Managing Owner with at least 25% ownership interest and voting power, who will have the authority of a chief executive officer. Alternatively, the franchisee must designate a Jollibee-approved, full-time Designated Manager to supervise daily operations. Jollibee inquires about previous business or franchise ownership and specific restaurant industry involvement. Candidates are expected to dedicate a significant amount of time to the Jollibee business, potentially full-time, and may have a support team exclusively dedicated to Jollibee operations.

Territory Size Requirements
Jollibee does not provide a specific territory for a single Jollibee Restaurant franchise, meaning franchisees will not receive any territorial rights or protection. For multi-unit developers, a "specifically described geographic territory" is granted as a "designated development area," but the FDD does not detail how this territory is defined (e.g., by radius, population, or zip codes).
Staffing Notes
Jollibee's System Standards may regulate staffing levels, employee qualifications, training, uniforms, and appearance for its restaurants. Franchisees are solely responsible for all decisions regarding their employees, including hiring, firing, compensation, scheduling, and training, and must comply with all applicable employment laws. Each restaurant must have a Managing Owner who supervises operations. If the Managing Owner does not supervise full-time, a Jollibee-approved Designated Manager must work full-time to supervise day-to-day operations. Jollibee may set minimum requirements for employee training programs to protect its system and goodwill, and employees with access to confidential information may be required to sign non-disclosure agreements.
