Litigation Summary
Footprints Floors has had two legal cases recently. In the first case, filed in June 2023, a homeowner sued a Footprints Floors franchisee and the franchisor (Branches Company, LLC) for alleged defects in flooring installation and failure to honor warranty obligations. While a court granted summary judgment in favor of Footprints Floors (the franchisor) in November 2024, the homeowner has until March 2025 to appeal this decision. In the second case, filed in October 2023, Footprints Floors (the franchisor) sued former franchisees for allegedly starting a competing flooring business and using Footprints Floors' trade secrets, violating their non-competition agreements. The court ruled in favor of Footprints Floors in May 2024, awarding them attorneys' fees, and the former franchisees have since filed for bankruptcy.

Renewal Conditions
To renew their Footprints Floors franchise, franchisees must provide Footprints Floors with 180 days written notice, but no more than 270 days, before the current agreement expires. They must be in full compliance with their existing franchise agreement and any other agreements with Footprints Floors, with no outstanding defaults. Franchisees must also demonstrate the ability to continue operating the business in their territory and maintain an approved administrative office that meets current standards. They need to satisfy all maintenance, update, and upgrade obligations, pay a renewal fee, and sign Footprints Floors' then-current franchise agreement and any related ancillary agreements. Owners and their spouses must personally guarantee the terms of the new agreement, which may have different terms from the current one. Additionally, franchisees and owners must complete any required additional training and sign a general release in favor of Footprints Floors, or an estoppel letter if a general release is legally restricted in their state.
Training & Support Program
Franchisor Assistance
Footprints Floors provides a range of support to its franchisees. Before opening, Footprints Floors helps with granting the franchise rights and approving the operating territory, which may include a home-based administrative office. Franchisees receive access to confidential operations manuals and a list of approved suppliers for signage, equipment, furniture, and fixtures. Footprints Floors also identifies and lists the franchisee's business on its official website and requires the franchisee to attend an initial two-week training program in Denver, Colorado, for the managing owner and one designated manager. After opening, Footprints Floors communicates updated operating standards, marketing guidelines (requiring pre-approval for all marketing materials), and information on approved vendors. While Footprints Floors may coordinate an annual System conference and requires attendance, it does not assist with employee hiring or training, although it mandates certain employee standards like confidentiality agreements and uniforms. Footprints Floors also reserves the right to implement and manage a brand development fund and advertising cooperatives, and to require supplemental training for a fee if requested or deemed necessary for performance.
