Financial Health Notes
Dryer Vent Wizard's direct parent, Neighborly Assetco LLC, and its Manager, Neighborly Company, both have unqualified audit opinions on their financial statements, indicating fair presentation of their financial positions. Neighborly Assetco LLC is in compliance with all debt-service coverage covenants. Neighborly Company, while identifying indicators of goodwill impairment in 2024 based on financial performance trends, concluded that the fair value of its reporting units exceeded their carrying value, resulting in no impairment for 2024. However, a significant goodwill impairment expense of $417,591 was recorded for Neighborly Company in 2023. Neither entity has a going concern qualification.
Financing Details
Dryer Vent Wizard may offer direct financing for a portion of the initial franchise fee to qualified franchisees, with amounts potentially covering up to 70% (or 80% if certain requirements are met) of the fee. The interest rate varies from 9% to 12% annually, depending on the franchisee's credit score. Repayment terms can range from 5 to 9 years based on the loan amount, with monthly installments paid via automatic bank draft. The franchisor requires a security interest in the business assets. If a legal entity is the franchisee, its owners must personally guarantee the debt, and a spouse's guarantee may also be required. Dryer Vent Wizard does not guarantee third-party loans. Financing for a renewal fee may also be available at a 12% interest rate.

Litigation Summary
Dryer Vent Wizard itself has no litigation to report, but Item 3 discloses administrative orders involving predecessors of two of its affiliates. The Commissioner of Business Oversight of the State of California issued a Consent Order against FOR Franchising LLC (a predecessor to the affiliate Window Genie) and its then-president in November 2017. The Commissioner alleged they failed to submit two franchise advertisements to the state as required. Without admitting fault, FOR paid a $5,000 penalty and relevant personnel received remedial training. Separately, in November 2010, Molly Maid, Inc. (a predecessor to the affiliate Molly Maid) entered into a Consent Judgment with the Kansas District Attorney. This stemmed from allegations that one franchisee could not document background checks and sold gift certificates after a franchise was terminated. Molly Maid denied wrongdoing but paid a $25,000 civil penalty and reimbursed $25,175 for investigation costs. Both these matters are now resolved.
Bankruptcy History
Dryer Vent Wizard itself, as the franchisor, has no bankruptcy history. However, Item 4 discloses several bankruptcy proceedings involving portfolio companies controlled by Kohlberg Kravis Roberts & Co. L.P. (KKR), which is affiliated with Dryer Vent Wizard's ultimate parent company. These include Chapter 11 reorganizations for The Collected Group LLC (a fashion brand owner) filed in April 2021 and emerged in May 2021; Envision Healthcare Corporation (a healthcare provider) filed in May 2023 and emerged in November 2023; Genesis Care Pty Limited (a healthcare provider) filed in June 2023 and emerged in February 2024; and IPI Legacy Liquidation Co. (a pharmaceutical company) filed in December 2023 and emerged in April 2024. Additionally, Café Coffee Day (an operator of cafes in India) filed an insolvency resolution in August 2024, which was later set aside in February 2025. None of these involved Dryer Vent Wizard itself.
