Litigation Summary

Renewal Conditions
To renew their franchise agreement, Club SciKidz franchisees must have substantially complied with the agreement and must not have any uncured defaults. They need to update their operations to meet Club SciKidz's current standards and procedures, complete all required training, and notify Club SciKidz of their intent to renew between nine and twelve months before their current agreement expires. Franchisees must also have paid all their financial obligations to Club SciKidz, its affiliates, and suppliers, sign a general release, and execute the then-current form of franchise agreement, which may have different terms.

Franchisor Assistance
Club SciKidz provides pre-opening assistance to its franchisees, including guidance on site selection and criteria for program facilities, initial training, and specifications for necessary equipment, inventory, and supplies. Club SciKidz also loans franchisees a copy of its confidential Operations Manual. For ongoing support, Club SciKidz determines program offerings and curricula. It may develop and conduct advertising and marketing programs, supported by the Brand Fund. Additional consulting services are available for a fee upon request. Club SciKidz also offers additional training programs for new operating principals at no charge, and may conduct other optional training programs, some of which may incur a fee. It also approves products, services, and suppliers.

Club SciKidz defines its Designated Territories based on contiguous counties and/or zip codes. Each territory must have a total population ranging from 450,000 to 1,000,000 people. This population range is determined using factors like demographics, the number of elementary schools in the area, and geographic size. Zip codes are not split when defining these territories.
Staffing Notes
Club SciKidz expects franchisees to maintain a high ratio of trained staff to children to ensure individual help and attention during programs. Franchisees are responsible for training their teachers and camp counselors to administer and supervise sessions using the proprietary lesson plans. All program facilities must have at least one employee with current CPR certification whenever children are on the premises. Club SciKidz offers an optional virtual training program called Club SciKidz Academy for employees.
