Financial Health Notes
100% Chiropractic's financial statements for the fiscal years ended December 31, 2023, 2022, and 2021 have been audited. The financial statements show negative members' equity (accumulated deficit) of -$1,819,547 for 2022 and -$830,478 for 2023. While the auditor's report does not include a 'going concern' qualification, potential franchisees should note the historical accumulated deficit in members' equity.
Financing Details
100% Chiropractic offers direct financing to franchisees for both the initial franchise fee and startup costs, as well as a line of credit for operational needs. For the Initial Franchise Fee Finance Program, franchisees can finance $300,000 of the fee (after an initial $7,500 down payment). This loan accrues interest at the lower of 12% per annum or the highest legal rate, compounded monthly. There are no principal or interest payments for the first 6 months (though interest accrues from the second month). Interest-only payments are due from months 7-30, followed by principal and interest payments over a 7-year period from month 31, totaling a 9.5-year note. For startup costs (remodeling, initial equipment, inventory, and initial operating expenses), 100% Chiropractic may, at its discretion, provide a promissory note with an interest rate at the lower of 12% per annum or the highest legal rate. No payments are due for the first 12 months (interest accrues), with principal and interest payments amortized over 60 months starting from month 13. A Line of Credit, typically less than $50,000, is also available for a 2-year term at the lower of 12% per annum or the highest legal rate. Monthly payments are the higher of $1,500 or based on a 24-month amortization of the outstanding principal. All financing requires a personal guarantee from the franchisee, its owners, and their spouses, and is secured by business assets.

Training & Support Program
Franchisor Assistance
100% Chiropractic provides comprehensive support to its franchisees before and after opening. Before opening, the franchisor assists with mutually agreeing on a suitable site, identifying required equipment and supplies, providing access to the 100% U/Online Training Platform (which includes mandatory and suggested operational procedures), and offering specifications for the computer system. Initial training is provided at an approved training office for two to four weeks (minimum two weeks) for key personnel, with costs payable to the host office. The franchisor also offers general assistance with opening, staff training, setup, equipment acquisition, and grand opening events. In some cases, 100% Chiropractic may guarantee a franchisee's lease. After opening, 100% Chiropractic provides ongoing direction and support in areas such as approved products and services, purchasing, local advertising and promotional programs, administrative and accounting procedures, and equipment specifications. Franchisees maintain online access to the Platform, are permitted to use the brand's Marks and confidential information (with indemnification for proper use), and receive additional, ongoing, and supplemental training programs, including mandatory biannual meetings. The franchisor also conducts inspections and audits of the franchised businesses. Specific training programs include a mandatory 'Kick Start' program within six weeks of opening (with associated fees and costs), and training for Chiropractic Assistants. Optional programs like 'Chiropractic Assistant Pop Up Camps' and 'Jumpstart' programs are also offered for additional fees.

Ongoing Support
After opening, 100% Chiropractic provides franchisees with ongoing direction and support in various areas, including approved products and services, purchasing of approved items, developing and implementing local advertising, administrative procedures, and equipment specifications. Franchisees continue to have online access to the 100% U/Online Training Platform. The franchisor permits the use of its Marks and confidential information, offering indemnification for claims arising from proper usage. 100% Chiropractic offers additional, ongoing, and supplemental training programs, which may be mandatory or optional. Mandatory biannual meetings are held, requiring attendance from doctor franchisees and doctors working in the office, with a non-attendance fee of up to $400 per day if missed without consent. Franchisees are responsible for their own travel, lodging, and meal expenses for these meetings. The franchisor also reviews and approves local advertising materials and performs inspections and audits of the franchised businesses to offer further guidance and training. Optional training programs such as 'Chiropractic Assistant Pop Up Camps' and 'Jumpstart' are available for an additional fee.
Franchise Requirements
Ideal Candidate Profile
100% Chiropractic seeks individuals or legal entities who meet their qualifications and are willing to invest and exert effort to own and operate a franchised business. The brand emphasizes that owner participation is crucial for continued success, with the expectation that franchisees will be personally involved in day-to-day operations and use their best efforts to promote the business. While franchisees are not strictly required to be involved in on-site, day-to-day operations and can seek assistance for labor-intensive portions, the franchisor believes in strong owner engagement. The franchise is open to both licensed chiropractors who will operate their own practice and non-licensed individuals who will develop a business providing management and administrative services to a professional chiropractic corporation.

Territory Size Requirements
Under the Franchise Agreement, 100% Chiropractic does not grant a minimum amount of territory in which to operate a single franchised business, though it reserves the right to grant a designated territory around the premises at its discretion. For Area Development Agreements, development areas are determined based on factors like population, demographics, and site availability. However, for a single unit, there is no defined territory size beyond the discretion of the franchisor.
Staffing Notes
100% Chiropractic franchisees are responsible for all aspects of staffing, including hiring, supervision, direction, and training of employees and independent contractors. This includes managing compensation, wages, hours, and compliance with OSHA and other employment laws. Franchisees must ensure staff maintain proper appearance and adhere to brand standards. All employees and independent contractors are required to sign confidentiality and non-competition agreements. The franchisor estimates that typical staffing for a new clinic includes approximately one to two therapists and two chiropractic assistants. If the franchisee is not a licensed chiropractor, they will also need to pay at least one salaried doctor. Chiropractic assistants are required to complete a minimum of one week of in-person training at a host office, with associated fees and costs. The franchisor may also require all employees and staff to pass a certification training program at no additional cost before beginning work.
